Emporio Connect Merchant Program
EMPORIO CONNECT MERCHANT GENERAL TERMS OF SERVICE
This agreement will apply if you join the emporio connect merchant program.
1. Meanings
Some words used in this agreement have a particular meaning. When we say “you” or “your”, we mean the legal owner of the Store (e.g. sole trader or limited company etc). When we say “we”, “us” or “our”, we mean yReceipts Limited, a company registered in England under company number 07091372, whose registered office address is 23b Lenten Street, Alton, Hampshire, GU34 1HG.
Other meanings are:
“Aggregated Data” means compilations or aggregated compilations of, and derived from, Till Data;
“Datahub” means the platform we own that allows interrogation of, and data extraction and presentation (e.g. in dashboard format) of and from Till Data and Aggregated Data, together with any software programmes, trade secrets, know-how, processes, algorithms, templates, information and intellectual property we use to operate the platform and all enhancements, derivative works, extensions, improvements or other modifications made to them;
“Intellectual Property Rights” means patents, trademarks, service marks, registered designs, applications for any of those rights, trade and business names (including internet domain names and email address names), unregistered trade marks and service marks, copyrights, database rights, knowhow, rights in designs and inventions and any other rights of the same or similar effect or nature;
“Licensed Software” means a software application or API provided by us enabling transaction and receipt data processed by the Tills to be streamed to the Datahub;
“Store” means any physical ‘bricks and mortar’ store or equivalent point of sale operated and/or owned by you and designated as a “Store” by you and us in writing from time to time;
“Tills” means your in-store electronic point-of-sale hardware equipment;
“Till Data” means all data and information provided by you to us under this agreement or generated by or collected via the Licensed Software, including transactional and product level data related to the retail sale of goods at a Store;
2. Our responsibilities
2.1 We will ensure Till Data is transmitted securely to our gateway from where it can be transferred to the Datahub.
2.2 We’ll make the Licensed Software available to you on your Tills at each store.
2.3 We’ll make access to the Datahub available, so that your current and future suppliers can improve their service to you based on Till Data and Aggregated Data. Such services from current and future suppliers back to you may include but are not limited to processes that will reduce your out- of-stock time and improve product replenishment cycles, analyses that may lead to optimised product assortment suggestions as well as access to trade promotions driving customers back into your Store(s).
3. Your responsibilities
3.1 To provide the Till Data and access the Datahub, you will need to have an internet connection, which you must provide at your own cost.
3.2 You must allow us (or someone else acting on our behalf) to install our Licensed Software on your Tills and to test it to ensure it is working.
3.3 To help us resolve any technical issues with the Licensed Software and any of your Tills, you agree that for the purpose of resolving such issues to let us have remote and direct and real-time access to the affected Tills to do what is reasonably necessary to resolve the issue without interfering with your day-to-day trading processes. We will only do this if you have given us your approval first.
